5. Payment Terms

Payment terms for our services are as follows:

• Payment terms will be outlined in individual project agreements or statements of work
• Unless otherwise agreed, invoices are due within 30 days of receipt
• Late payments may be subject to interest charges as permitted by law
• We reserve the right to suspend services for overdue accounts
• All fees are non-refundable unless otherwise stated in writing

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes but is not limited to:

• Business strategies and plans
• Technical specifications and architectures
• Customer data and information
• Financial information
• Any information marked as confidential

7. Limitation of Liability

To the maximum extent permitted by law, Xentric Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from our services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

8. Warranties and Disclaimers

We provide our services on an "as is" and "as available" basis. While we strive for excellence, we make no warranties, express or implied, regarding:

• The uninterrupted or error-free operation of our services
• The accuracy or completeness of any information provided
• The suitability of our services for any particular purpose

9. Termination

Either party may terminate the service relationship with written notice as specified in individual project agreements. Upon termination:

• You shall pay for all services rendered up to the termination date
• We will provide reasonable assistance in transitioning work to another provider
• Confidentiality obligations will survive termination
• Any licenses granted will continue according to their terms

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of San Francisco County, California.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.
